These Terms and Conditions ("Terms") govern your use of the website arkansaswebworks.com and any products or services provided by Arkansas Web Works, a sole proprietorship based in Springdale, Arkansas ("Arkansas Web Works," "AWW," "we," "us" or "our"). "Client," "you" and "your" mean the person or business using our website or purchasing our products or services. By using our website, or by agreeing to use or paying for any of our products or services, you agree to these Terms. If you do not agree, please do not use our website or services.
1. Our services
Arkansas Web Works provides web design, branding, social media management, Facebook and online advertising, online marketing, AI consultation and support, and AI-powered products, including AI voice receptionist, calling and text-messaging tools (together, the "Services"). The scope, deliverables, pricing and timeline for your project or subscription are described in your proposal, quote, invoice or order (your "Order"). If your Order conflicts with these Terms, your Order controls for that item.
2. Payment, subscriptions and cancellation
- Fees are due as stated in your Order. Monthly subscription Services, such as our AI receptionist, are billed in advance each month and renew automatically until cancelled.
- You may cancel a subscription at any time by contacting us. Cancellation takes effect at the end of the current paid billing period. Except where required by law or stated in your Order, fees already paid are non-refundable.
- We may suspend Services for unpaid balances. We may change prices for ongoing subscriptions with at least 30 days' notice.
- Fees do not include third-party costs unless stated, such as domain names, hosting, advertising spend, phone numbers, calling or texting usage, or software subscriptions.
3. No guarantee of results, earnings or income
We work hard to help our clients succeed, but no promises or guarantees are made or implied that any of our products or Services, including our AI voice, receptionist, calling and texting products, will increase your earnings, income, revenue, sales, leads, calls, appointments, search rankings, reviews or any other business result. Any examples, estimates or descriptions of potential benefits are for illustration only. Results depend on many factors outside our control, including your market, competition, pricing, service quality, staffing and how you respond to customers.
4. Artificial intelligence and automated tools
Some of our Services use artificial intelligence ("AI") and automated software, including software provided by third parties. You understand and agree that:
- Any time AI is used, mistakes can be made. AI may misunderstand callers, give incomplete or inaccurate information, mis-schedule or fail to book appointments, fail to answer, transfer or route a call or message, or behave in ways that were not intended.
- Arkansas Web Works takes every reasonable opportunity to minimize errors and mistakes, including configuring, testing, monitoring and correcting the AI tools we set up for you. However, we cannot guarantee that any AI or software will be error-free, uninterrupted or available at all times.
- AI tools are not a substitute for your own professional judgment or for emergency services. You are responsible for reviewing the information, instructions, pricing and policies the AI uses on your behalf, keeping them accurate, and promptly telling us about any errors you notice.
- Third-party platforms we use (for example AI, telephone, texting, scheduling, website and advertising providers) may change, experience outages or discontinue features, and we are not responsible for their performance.
5. Your responsibilities, including calls, recordings and text messages
- You will provide accurate information and materials and have the rights to any content, logos, images and information you give us to use.
- You are responsible for your business's compliance with all laws that apply to how you communicate with your customers, including laws on telemarketing, automated calls and text messages (such as the Telephone Consumer Protection Act), call recording and notice or consent requirements, privacy and data protection, and advertising.
- You will obtain any consent required from your customers before they are called, texted or recorded by AI or automated tools on your behalf, and you will honor opt-out requests such as "STOP."
- You will not use our Services for any unlawful, deceptive, harassing or abusive purpose.
6. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless Arkansas Web Works and its owner(s), employees, contractors and agents from and against any and all claims, demands, losses, damages, liabilities, penalties, costs and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) any harm caused by any function, output, error or failure of any software, AI or automated tool used on your behalf, including AI voice, receptionist, calling, texting and scheduling tools; (b) your use of the Services; (c) your content, information or instructions; (d) your business's communications with your customers; or (e) your violation of these Terms or any law.
7. Limitation of liability
To the fullest extent permitted by law, Arkansas Web Works and its owner(s) will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any lost profits, lost revenue, lost business, missed calls, missed appointments or lost data, even if advised of the possibility of such damages. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the specific Service giving rise to the claim during the three (3) months before the claim arose.
8. Disclaimer of warranties
Except as expressly stated in your Order, the website and Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
9. Dispute resolution: mediation before litigation
By agreeing to use or paying for any products or Services from Arkansas Web Works, you agree that if any dispute, claim or controversy arises out of or relates to these Terms or the Services, you and Arkansas Web Works will first try in good faith to resolve it informally. If it is not resolved within thirty (30) days, both parties agree to submit the dispute to non-binding mediation before a mutually agreed mediator in Northwest Arkansas before filing any lawsuit. The mediator's fees will be shared equally unless otherwise agreed. Neither party may file a lawsuit regarding the dispute until mediation has been attempted, except to seek urgent relief to prevent irreparable harm or to preserve a claim that would otherwise expire.
10. Ownership and website content
Unless your Order says otherwise, once you have paid in full you own the final website content and designs created specifically for you, excluding third-party software, stock media, fonts, templates and tools, which remain subject to their own licenses. Arkansas Web Works may display completed work in its portfolio unless you ask us not to. All content on arkansaswebworks.com belongs to Arkansas Web Works or its licensors.
11. Text messaging terms
If you opt in to receive text messages from Arkansas Web Works, message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe at any time and HELP for help. Consent to receive text messages is not a condition of purchase. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for how we handle your information.
12. Governing law
These Terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-law rules. Subject to Section 9, any lawsuit will be brought in the state or federal courts serving Washington County or Benton County, Arkansas.
13. Changes and general terms
We may update these Terms from time to time by posting the new version on this page with a new effective date. Continued use of the website or Services after an update means you accept the updated Terms. If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with your Order, are the entire agreement between you and Arkansas Web Works regarding their subject matter.
